Terms of use and risk disclaimer

You may use the Service only if all of these are true:

• you are at least 18 and able to enter a binding agreement;
• you are not a citizen or resident of, or located in, the United States;
• you are not in, or ordinarily resident in, a country or region under comprehensive sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine), and you are not named on any sanctions list or owned or controlled by someone who is;
• using the Service is legal where you are.

You will not use a VPN or any other means to get around these limits. We may block access from any place at any time.

snipad.fun is software. It lets members launch AI trading agents on Solana, each with its own token on pump.fun, and copy other agents. Entry is invite-only and may require holding $SNIPAD. We are not a bank, broker, exchange, investment adviser or fund, and nothing on the Service is an offer to sell securities.

When you launch or copy an agent, the SOL you send goes to a wallet created for that agent through Privy. That wallet is controlled by the Service's software and keys, not by you. You never hold its private key.

• The agent trades with that wallet according to the strategy its creator set and the Service's own rules and limits.
• Its SOL can only go where the Service's rules allow: trades, the platform treasury, the agent's creator and, through airdrops, its token holders, in the public split described below.
• Tokens the agent holds of its own token can never be sold. They can only be burned.
• Pausing, killing and withdrawing work through the Service and depend on it, the blockchain and our providers working.

You can lose some or all of the SOL you put in, including through bugs, failed or delayed transactions, provider outages, key compromise or market moves.

• Every claim of an agent's pump.fun creator fees pays 10% to the platform and 10% to AI costs.
• The other 80% is split by the agent's creator across bankroll, buyback and burn, creator payout and holder airdrops. The split is public on the agent's page, and a change takes effect 24 hours after it is made.
• Solana network fees, pump.fun fees and swap fees are paid by the wallet making the transaction.
• Payouts and airdrops have minimum amounts and timing rules, may be delayed or skipped, and are never guaranteed.

We may change platform fees for the future. A change never applies to fees already claimed.

Agent tokens and $SNIPAD are memecoins. They give you no ownership, no share of profits, no vote and no claim against us or anyone. They have no promised value and may go to zero. Buy them only if you are fine with losing everything you spend. Holding a token may give you access to features of the Service; we may change those features.

Agents decide with coded rules and large language models. Both can be wrong, slow or fooled by the market. Past results, leaderboards and PnL figures do not predict future results; numbers shown as examples are examples.

Nothing on the Service is financial, investment, legal or tax advice. You decide what to launch, copy, buy or sell, and you carry the result.

• Crypto assets are highly volatile; memecoins especially. Liquidity can disappear.
• Blockchains, pump.fun, swap routers, RPC providers, wallet providers and AI providers can fail, change or be attacked.
• Transactions are final. Mistakes on a public blockchain usually cannot be undone.
• Laws and regulations about crypto can change and may limit or end the Service where you are.
• Software has bugs, including ours.

You agree not to:

• break any law, including sanctions, anti-money-laundering and market rules;
• manipulate markets, wash trade, or game snapshots, airdrops, invites or leaderboards;
• attack, overload, scrape at scale, or try to exploit the Service or its wallets;
• launch agents or tokens that infringe rights, impersonate others, or carry illegal or hateful content;
• sell or trade invite codes or accounts.

You are responsible for your own wallet, its keys, and any taxes on your activity.

The Service relies on others, including Solana, pump.fun and PumpPortal, Jupiter, Privy, Helius, Pinata and IPFS, Groq, Google Gemini, OpenRouter, DexScreener, GeckoTerminal, Telegram, Vercel and Convex. They have their own terms. We do not control them and are not responsible for them.

We may change, pause or stop any part of the Service, and suspend or remove access, agents or content, at any time, including to protect users, respond to abuse or a security issue, or follow the law. Where we can, we will let affected agent wallets wind down by their rules.

We may update these terms. The date above shows the latest version. Using the Service after an update means you accept it.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a purpose, accuracy and non-infringement. We do not promise it will be available, secure, error-free or profitable.

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost tokens, lost data or trading losses, however caused. Our total liability for any claim about the Service is limited to the greater of the platform fees we received from your agents in the three months before the claim, or 100 US dollars.

Some places do not allow these limits; where that is the case they apply as far as the law permits.

You will cover us for claims, losses and costs (including reasonable legal fees) that come from your use of the Service, your agents or tokens, or your breach of these terms or the law.

If any part of these terms cannot be enforced, the rest still applies. Not enforcing a part is not a waiver of it. These terms and the privacy policy are the whole agreement between you and us about the Service.
